Terms of Service

1. Introduction & Acceptance

These Terms of Service (“Terms”) govern your use of PropPipe, a property management platform operated by Clerky Ltd, a company registered in Ireland (“we”, “us”, “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use PropPipe.

2. Definitions

• “Service” means the PropPipe web application, mobile apps, APIs, and all related services.
• “Account” means your organisation’s workspace within PropPipe, including all users, data, and settings associated with it.
• “Property” means any real estate listing, rental, or asset managed through the Service.
• “User” means any individual authorised to access an Account, including administrators, agents, and staff.
• “Content” means any data, text, images, documents, or other materials you upload to the Service.

3. Account Registration & Multi-Tenancy

To use PropPipe, you must create an Account and provide accurate, complete information. Each Account is a separate, isolated workspace — your data is never shared with or visible to other Accounts. You are responsible for maintaining the security of your Account credentials and for all activity that occurs under your Account.

Account administrators may invite additional Users and assign roles. You are responsible for ensuring that all Users within your Account comply with these Terms.

4. Acceptable Use

You agree to use PropPipe only for lawful purposes related to estate agency and property management. You must not:

• Use the Service for any illegal activity or in violation of applicable laws or regulations.
• Attempt to gain unauthorised access to other Accounts or our infrastructure.
• Upload malicious software, spam, or any content that infringes third-party rights.
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service.
• Use automated means to scrape, crawl, or extract data from the Service without our prior written consent.

5. Billing & Pricing

PropPipe offers a free tier with usage limits. Paid plans are billed on a usage-based model, charged monthly via Stripe. Prices are displayed in your Account dashboard and on our pricing page. All amounts are exclusive of VAT unless otherwise stated.

We may change our pricing with at least 30 days’ notice. Continued use of the Service after a price change constitutes acceptance of the new pricing. If you do not agree with a price change, you may cancel your subscription before it takes effect.

Payments are non-refundable except where required by law. If you believe you have been charged in error, contact us within 30 days at support@proppipe.com.

6. Intellectual Property

PropPipe, including its design, code, logos, and documentation, is owned by Clerky Ltd and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes for the duration of your subscription.

7. Data Ownership

Your data is yours. You retain all rights to the Content you upload to PropPipe. We do not claim ownership of your data, and we will not sell, share, or use it for purposes other than providing the Service to you.

You may export your data at any time. We provide data export functionality so you are never locked in. Upon Account termination, we will retain your data for 30 days to allow for recovery, after which it will be permanently deleted.

8. Service Availability

We use reasonable efforts to keep PropPipe available and reliable. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We do not offer a formal Service Level Agreement (SLA). We will communicate planned downtime in advance where possible and work to resolve unplanned outages as quickly as we can.

9. Limitation of Liability

To the maximum extent permitted by Irish and EU law, Clerky Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from your use of the Service.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

10. Termination & Cancellation

There are no long-term contracts. You may cancel your Account at any time from your Account settings. Upon cancellation, your access will continue until the end of your current billing period.

We may suspend or terminate your Account if you violate these Terms or if your Account remains inactive for an extended period. We will provide reasonable notice before termination where possible.

After termination, your data will be retained for 30 days to allow for export or recovery. After this period, all data will be permanently and irreversibly deleted.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or through the Service at least 30 days before the changes take effect. Your continued use of PropPipe after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ireland, without prejudice to your rights under EU consumer protection legislation.
